1. Who we are and what these Terms cover

Talkido is a brand of Cogni5 Inc., a Delaware corporation with its registered office at 8 The Green STE D, Dover, DE 19901 and operations at 14 Village Green Ln, Natick, MA 01760, USA ("Talkido", "we", "us"). These Terms apply to talkido.com, the products you buy there, the Talkido Mio device, the Talkido App and the Talkido Premium and TalkidoPro subscriptions (together, the "Services"). By using the Services or placing an order you agree to these Terms and to our Privacy Policy, Refund and Return Policy, Shipping Policy and Warranty & Safety page, which form part of these Terms.

2. Eligibility and accounts

You must be at least 18 years old to place an order or create a Talkido App account. Accounts are for parents, caregivers, educators and clinicians; children use Mio under adult supervision and do not have accounts of their own. You are responsible for keeping your login details safe and for all activity on your account. Tell us at wecare@talkido.co if you believe your account has been used without permission.

3. Orders, prices and payment

All prices are in US dollars and exclude sales tax, which is calculated at checkout. We may correct pricing or description errors at any time, including after you place an order; if we do, we will tell you and you may cancel for a full refund. An order is accepted when we send the shipping confirmation. Payments on talkido.com are processed by Shopify Payments and its partners (including Shop Pay); we do not store your card details. Schools, clinics and other organizations may order with a purchase order; payment terms are stated on the order confirmation.

4. Shipping, returns and warranty

Shipping options, delivery estimates and our 30-day return policy are set out in the Shipping Policy and the Refund and Return Policy. The Talkido Mio device carries a one-year limited warranty described on the Warranty & Safety page. Those documents apply to every purchase.

5. Subscriptions: Talkido Premium and TalkidoPro

Some content and features of the Talkido App are available through a subscription. Family bundles include 30 days of Talkido Premium and the Professional Kit includes 12 months of TalkidoPro at no extra charge; the included period starts when you activate it in the app. Before an included period ends we email you with the renewal options and price. Subscriptions bought through the Apple App Store or Google Play are billed, renewed and cancelled through that store under its terms. Subscriptions bought through talkido.com are billed by our payment processor and can be cancelled from your account at any time, taking effect at the end of the current period. Mio and the recordings you have made keep working whether or not you subscribe.

6. Using Mio and the Talkido App

We grant you a personal, non-transferable licence to use the Talkido App and the content we provide for the purpose of supporting a child's learning and communication. You may not copy, resell, reverse engineer or redistribute the app, the My First Words materials or other Talkido content, or use the Services in a way that is unlawful or harms others. Recordings and other content you create belong to you; you grant us the limited rights needed to store and play them back through the Services. Mio works offline; the app is optional and adds ready-made activities and tools.

7. Not a medical device or a substitute for therapy

Talkido products support practice and engagement. They are not medical devices, do not diagnose or treat any condition and do not replace the advice or services of a speech-language pathologist, physician, teacher or other professional. Decisions about a child's care remain with the adults responsible for that child.

8. Safety

Talkido products are intended for children aged 3 and older under adult supervision. Cards, tags and other small parts can be a choking hazard for children under 3. Please read the Warranty & Safety page before first use.

9. Children's privacy

The Talkido App collects information about a child only as described in our Privacy Policy and only with the consent of the parent, guardian or the school or clinic responsible for the child. We do not use children's data for advertising.

10. Intellectual property and copyright notices

The Talkido name, logo, Mio, Puki, My First Words and all site, app and curriculum content are owned by Cogni5 Inc. or its licensors. If you believe content on the Services infringes your copyright, send a notice under the Digital Millennium Copyright Act to our designated agent: Cogni5 Inc., Attn: Copyright Agent, 14 Village Green Ln, Natick, MA 01760, USA; wecare@talkido.co. Include the work, the location of the material, your contact details, a statement of good-faith belief and a statement under penalty of perjury that you are authorized to act, and your signature.

11. Third-party services and links

The Services may link to or rely on third-party services (for example Shopify, the Apple App Store and Google Play). We are not responsible for their content or terms.

12. Changes to the Services and to these Terms

We may change, suspend or discontinue features of the Services. We may update these Terms; the date at the top shows the current version, and material changes are announced on the site or by email. Continued use after a change means you accept the updated Terms.

13. Disclaimer of warranties

Except for the express warranty on the Warranty & Safety page and any rights you have under law that cannot be excluded, the Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Services will be uninterrupted or error-free, or that use of Talkido will produce any particular outcome for a child.

14. Limitation of liability

To the fullest extent permitted by law, Cogni5 Inc. and its officers, employees and partners are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of data or profits, arising from the Services. Our total liability for any claim is limited to the amount you paid us for the product or subscription that gave rise to the claim in the 12 months before the claim. Some states do not allow these limitations, so some may not apply to you.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware and the federal laws of the United States, without regard to conflict-of-law rules. If you have a dispute with us, email wecare@talkido.co first; we will try to resolve it informally within 30 days. If we cannot, the state and federal courts located in Delaware have exclusive jurisdiction, and each of us agrees to their personal jurisdiction. Nothing in this section limits rights you have as a consumer under the law of your state.

16. Export and sanctions

You may not use or export the Services in violation of US export control and sanctions laws.

17. General

If any part of these Terms is found unenforceable, the rest remains in effect. These Terms, together with the policies they reference, are the entire agreement between you and us about the Services. You may not transfer your rights under these Terms; we may transfer ours to a successor of our business.
